ALPHA-PICKS reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

FEES, PAYMENTS, AND TERMINATION

Trial Membership to Full Membership

You can sign up for a 30-day free Trial of ALPHA-PICKS Membership. No credit cards needed. If you decide not to continue with ALPHA-PICKS within this trial period, your account will be automatically terminated immediately after your 30-day trial subscription ends. After your 30th day, if you subscribe to one of our premium services, unless you cancel your membership by sending your cancellation request via email to SUPPORT@ALPHA-PICKS.com, your credit card will be charged for the full ALPHA-PICKS Membership rate that you select at the time of signup. This membership rate will automatically renew each billing period (Monthly). If you decide to cancel ALPHA-PICKS during your full membership, your membership will be set to expire at the end of the current month during which you cancelled your membership. We do not issue prorated refunds, or refunds of any kind.

The individual subscriptions that you have with us makes up the whole of your membership. Nonpayment for any individual product or service that we offer can and will result in suspension or termination of your membership to all of our products and services until the open balances are resolved.

Promotional/Sale Offers AND Renewals

Only One Trial Per User

You may only take one (1) trial membership within a ninety (90) day period. You may become an ALPHA-PICKS Member at any time by paying the full membership rate.

Membership Cancellations

You must cancel your membership by sending an email to SUPPORT@ALPHA-PICKS.com. If you decide to cancel your ALPHA-PICKS subscription during your full membership, your membership will be set to expire at the end of the current month during which you cancelled your membership. We do not issue prorated refunds, or refunds of any kind.

RESTRICTIONS ON USE

You may use this site for purposes expressly permitted by this site. You may not use this site for any other purpose, including any commercial purpose, without our Company’s express prior written consent. For example, you may not (and may not authorize any other party to) (i) co-brand this site, or (ii) frame this site, or (iii) hyper-link to this site, without the express prior written permission of an authorized representative of our Company. Failure to comply with the foregoing shall constitute a breach of this Agreement, which may result in immediate termination of your account. You shall be responsible for maintaining the confidentiality of your password.

You are responsible for all usage or activity on your ALPHA-PICKS account, including use of the ALPHA-PICKS by any third party authorized by you to use your subscriber ID and password. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at ALPHA-PICKS's sole discretion and ALPHA-PICKS may refer you to appropriate law enforcement agencies.

Our Company will be entitled to monitor your password and, at its discretion, require you to change it. If you use a password that our Company considers insecure, our Company will be entitled to require the password to be changed and/or terminate your account.

You are prohibited from using any services or facilities provided in connection with this site to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password guessing programs, cracking tools or network probing tools) is strictly prohibited. If you become involved in any violation of system security, our Company reserves the right to release your details to system administrators at other sites in order to assist them in resolving security incidents. our Company reserves the right to investigate suspected violations of these Terms of Use.

Our Company reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing our Company to disclose the identity of anyone posting any e-mail messages, or publishing or otherwise making available any materials that are believed to violate these Terms of Use.

You shall notify ALPHA-PICKS (support@ALPHA-PICKS.com) of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft or unauthorized disclosure of your password.

BY ACCEPTING THIS AGREEMENT YOU WAIVE AND HOLD HARMLESS our Company FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY our Company DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER our Company OR LAW ENFORCEMENT AUTHORITIES.

CONDUCT

You may not transmit in any way User Content on or through the Web Site that: (i) infringes any proprietary rights of any party or person; (ii) is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, deceptive, fraudulent, sexually graphic, hateful, or invasive of another’s privacy; (iii) victimizes, harasses, degrades, or intimidates an individual or group on the basis of race, ethnicity, gender, religion, sexual orientation, age, or disability; (iv) contains unsolicited or unauthorized advertising, promotional materials, “spam,” “chain letters,” or any other form of solicitation; or (v) contains software viruses or any other computer code, files or programs that may interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or contribute to any other similarly destructive activity. You also agree that you will not: (i) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; (ii) forge or otherwise manipulate User Content in order to disguise the origin of any User Content; (iii) interfere with or disrupt the Web Site or servers or networks connected to the Web Site, or disobey any requirements or policies of networks connected to the Web Site; (iv) infiltrate or otherwise seek to gain unauthorized access to, or compromise the integrity of, the Web Site; (v) collect or store information about the Users of the Web Site or the User Content posted by others on the Web Site or use such information for any purpose inconsistent with the purpose of the Web Site; or (vi) violate any applicable local, state, national or international law or regulation.

GENERAL

This Agreement is personal to you, and you may not transfer your subscription or assign your rights or obligations to someone else. These Terms of Use will be governed and interpreted pursuant to the laws of Oregon, United States of America, notwithstanding any principles of conflicts of law. You specifically consent to personal jurisdiction in Oregon in connection with any dispute between you and our Company arising out of these Terms of Use or pertaining to the subject matter hereof. The parties to these Terms of Use each agree that the exclusive venue for any dispute between the parties arising out of these Terms of Use or pertaining to the subject matter of these Terms of Use will be in the state and federal courts in Washington County, Oregon.

SEVERABILITY

If any provision in this Agreement is invalid or unenforceable under applicable law, they will not affect the validity and enforceability of any remaining provisions. The remaining provisions will continue in full force and effect. These Terms of Use constitute the entire agreement among the parties relating to this subject matter. Notwithstanding the foregoing, any additional terms and conditions on this site will govern the items to which they pertain. our Company may revise these Terms of Use at any time by updating this posting.

ENTIRE AGREEMENT

This agreement constitutes the entire agreement between you and ALPHA-PICKS.com, LLC. with respect to this ALPHA-PICKS.com website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and ALPHA-PICKS.com, LLC. with respect to this website. A printed version of this agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
